Channel Partnership Program – Terms & Conditions

1. Eligibility

  • The applicant must be a legally registered business entity in India or the region of operation.
  • The company must have valid GST registration and comply with all applicable local laws.
  • Approval into the program is subject to internal verification and may be granted or denied at the sole discretion of the Company.

2. Registration & Onboarding

  • All information submitted during registration must be accurate and complete.
  • The Company reserves the right to request additional documents for verification.
  • Successful applicants will receive an official onboarding email and reseller credentials (if applicable).

3. Scope of Partnership

  • Resellers are authorized to promote, sell, and support the Company's products and solutions within their approved territory.
  • The partnership is non exclusive, unless otherwise agreed in writing.
  • Resellers must represent the Company's brand, products, and pricing accurately and professionally.

4. Benefits Provided

Resellers enrolled in the program may receive:

  • Pre sales support for qualified opportunities
  • Priority technical support
  • Free training programs and product certifications
  • Exclusive project based pricing (subject to approval)

The Company may modify or withdraw any benefit at its discretion with prior notice.

5. Pricing & Discounts

6. Orders & Payments

  • All purchases must be made directly from the Company or its authorized distributors.
  • Payment terms will be as per the invoice or reseller agreement.
  • Delayed payments may result in suspension of benefits or termination of partnership.

7. Confidentiality

  • All documents, pricing, training materials, and communications shared under this program are confidential.
  • Resellers must not disclose any confidential information to third parties without written consent.

8. Branding & Marketing Usage

  • Resellers may use the Company's brand name, logos, and marketing materials only as permitted.
  • Any misuse, modification, or unauthorized reproduction of brand assets is strictly prohibited.
  • All marketing content must be approved if required by the Company.

9. Conduct & Compliance

  • Resellers must comply with all applicable Indian laws, including GST, IT Act, and industry regulations.
  • Unethical practices such as misrepresentation, false commitments, or misuse of support resources may lead to termination.
  • Resellers must provide accurate information to customers and maintain high service standards.

10. Technical Support

  • Priority technical support is provided only for registered and active resellers.
  • Support is limited to Company products and does not cover third party integrations unless specified.

11. Termination

The Company may suspend or terminate the partnership if:

  • The reseller violates these terms
  • Misrepresents the Company or its products
  • Fails to meet payment obligations
  • Engages in unethical or illegal activities

Upon termination, the reseller must immediately stop using the Company's brand, materials, and pricing.

12. Limitation of Liability

  • The Company is not liable for any indirect, incidental, or consequential damages arising from the reseller's business activities.
  • The reseller is responsible for their own customer commitments, warranties, and service obligations unless otherwise agreed.

13. Amendments

  • The Company reserves the right to update or modify these Terms & Conditions at any time.
  • Continued participation in the program constitutes acceptance of updated terms.

14. Governing Law

  • These Terms & Conditions are governed by the laws of India.
  • Any disputes shall be subject to the jurisdiction of courts located in the Company's registered state.
